Overview

This website platform (hereinafter referred to as the "Platform") is operated by Creatrol Intelligence Co., Ltd. (hereinafter referred to as "Creatrol Sensor", "we", "us", or "our"), with the URL www.creatrolsensor.com. Creatrol Sensor provides information, tools, and services to business clients (hereinafter referred to as "Client" or "your company") through this Platform, provided that the Client accepts all terms, conditions, policies, and notices set forth herein.

By accessing our Platform and/or purchasing products or services (hereinafter referred to as "Services") from us, your company engages in our Services and agrees to be bound by the following terms and conditions ("Terms of Service"), including additional terms, conditions, and policies referenced herein and/or available via hyperlinks. These Terms of Service apply to all business clients of the Platform, including but not limited to browsers, suppliers, customers, merchants, and content contributors.

Please read these Terms of Service carefully before accessing or using our Platform. By accessing or using any part of the Platform, your company agrees to be bound by these Terms of Service. If your company does not agree to all terms and conditions herein, you may not access the Platform or use any Services. If these Terms of Service are deemed an offer, acceptance is expressly limited to these Terms of Service.

Any new features or tools added to the Platform shall also be subject to these Terms of Service. Your company may review the most current version of these Terms of Service at any time on this page. We reserve the right to update, modify, or replace any part of these Terms of Service by posting updates and/or changes on the Platform. It is your company’s responsibility to check this page periodically for changes. Your continued use of or access to the Platform following the posting of any changes constitutes acceptance of those changes.

Our Platform is technically supported by Ueeshop. They provide us with an online e-commerce platform to sell our products and services to your company.

Section 1 - Eligibility to Use the Platform

By agreeing to these Terms of Service, your company represents and warrants that it is a legally registered and validly existing corporate entity under the laws of its jurisdiction of registration, with full corporate power and authority to enter into this Agreement. The individual accepting these Terms on behalf of your company warrants that they have been formally authorized to bind your company to these Terms.

Your company shall not use our products for any illegal or unauthorized purpose, nor shall it violate any applicable laws or regulations (including but not limited to export control laws, intellectual property laws) in using the Services.

Your company shall not transmit any worms, viruses, or destructive code.

A breach or violation of any of these Terms may result in the immediate termination of your company’s access to the Services.

Section 2 - General Conditions

We reserve the right to refuse any service request for any reason at any time.

Your company understands that your content (excluding credit card information) may be transmitted unencrypted and may involve: (a) transmission over various networks; and (b) changes to conform to technical requirements of connecting networks or devices. Credit card information is always encrypted during transmission over networks.

Without our express written permission, your company shall not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, access to the Services, or any contact information on the Platform through which the Services are provided.

Headings used in this Agreement are included for convenience only and shall not limit or otherwise affect these Terms.

Section 3 - Accuracy, Completeness, and Timeliness of Information

We shall not be liable for any inaccuracies, incompleteness, or untimeliness of information available on the Platform. Materials on the Platform are provided for general information only and shall not be relied upon or used as the sole basis for decision-making without consulting primary, more accurate, complete, or timely sources of information. Any reliance on materials on this Platform is at your company’s own risk.

The Platform may contain historical information, which is provided for reference only (historical information is not guaranteed to be current). We reserve the right to modify the content of the Platform at any time but are under no obligation to update information. Your company shall be responsible for monitoring changes to the Platform.

Section 4 - Modifications to Services and Prices

Prices displayed on the Platform are reference prices or starting points for inquiries. The final binding price shall be subject to the mutually confirmed quotation or purchase order.

We reserve the right to modify or discontinue the Services (or any part thereof) at any time, but will use reasonable efforts to notify your company in advance.

We shall not be liable to your company or any third party for any modification, price change, suspension, or discontinuance of the Services, except for confirmed orders.

Section 5 - Products or Services

(a) Standard Products and Customized Products: Standard products listed on the Platform may be purchased online. Customized products (defined as products manufactured or configured to your company’s specific requirements) require separate quotation and agreement. All customized products are non-cancelable and non-returnable unless Creatrol Sensor determines, and both parties mutually confirm, that there is a material defect.

(b) Bulk Purchases: For bulk purchases (exceeding the listed standard quantity or requiring specific delivery schedules), Creatrol Sensor and the Client may enter into a separate purchase agreement specifying quantity, specifications, price, delivery terms, acceptance criteria, and other relevant commercial terms. In the event of any conflict between these Terms of Service and a formally signed purchase agreement, the purchase agreement shall prevail for that specific transaction.

(c) Display and Accuracy: We have made every effort to display colors and images of our products on the Platform as accurately as possible. We cannot guarantee that any color displayed on your company’s computer monitor will be absolutely accurate. Prices and product specifications displayed on the Platform are for reference and inquiry purposes only. The final binding price and specifications for any order shall be subject to confirmation in the relevant quotation, purchase order acceptance, or purchase agreement.

(d) Sales Restrictions: We reserve the right (but are not obligated) to restrict sales of our products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantity of any products or Services we offer. All descriptions or pricing of products or Services are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. Any offer for products or Services on the Platform is void where prohibited.

(e) Warranty of Quality: We do not warrant that the quality of any products, Services, information, or other materials purchased or obtained by your company will meet your company’s expectations beyond the scope of applicable laws and contractually agreed terms, nor do we warrant that any errors in the Services will be corrected. Implied warranties under applicable law (such as merchantability, fitness for a particular purpose) shall apply to the extent required by law.

(f) Product Compliance and Global Regulatory Differences: Your company acknowledges and agrees that the use of radar sensor products may be subject to specific laws and regulations in different countries or regions worldwide (including but not limited to radio frequency management, electromagnetic compatibility, safety, and certification requirements such as FCC, CE, RED, IC, SAA, RoHS). Creatrol Sensor has obtained basic certifications such as CE, RoHS, RED, FCC, and SAA for its products and can provide relevant certification documents (electronic or copies) upon your company’s request. However, such certifications only indicate that the products meet basic requirements of the corresponding standards and do not guarantee applicability to all sub-markets (e.g., local requirements in EU member states, additional specifications for specific industry scenarios).

Your company shall be responsible for: (i) fully understanding and complying with all applicable laws, regulations, standards, and certification requirements in the target country/region where the products will be used or sold; (ii) ensuring that the products obtain any additional approvals, certifications, or licenses required by the target market; (iii) ensuring that the deployment, operation, and use of the products fully comply with such regulations. Creatrol Sensor makes no express or implied warranties regarding the full compliance of products in specific jurisdictions. Creatrol Sensor shall not be liable for any liability, loss, claim, or penalty arising from your company’s failure to comply with target market (including sub-markets) regulations.

Section 6 - Accuracy of Billing and Account Information

Creatrol Sensor reserves the right to refuse any order placed through the Platform. Standard orders on the Platform may be subject to quantity limits. For needs exceeding standard limits, clients are encouraged to contact sales@creatrol.com to negotiate a purchase agreement.

Payment terms (including payment method, due date, and any applicable late payment fees) shall be agreed in writing by both parties (e.g., in a purchase agreement, accepted quotation, or invoice). In the absence of a specific written agreement, the default payment term is full payment in USD before shipment. Your company agrees to provide and maintain accurate and complete account information, including authorized contacts, billing addresses, and relevant tax identification numbers. Your company is responsible for updating this information promptly.

If Creatrol Sensor modifies or cancels an order, we may attempt to notify your company via the email and/or billing address/phone number provided at the time of ordering. We reserve the right to restrict or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

Section 7 - Optional Tools

We may provide your company with access to third-party tools, which we neither monitor, control, nor have input into.

Your company acknowledges and agrees that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind, and without any endorsement. We shall have no liability whatsoever arising from or relating to your company’s use of optional third-party tools.

Any use by your company of optional tools offered through the Platform is entirely at your own risk and discretion, and your company shall ensure that it is familiar with and approves of the terms under which the tools are provided by the relevant third-party providers.

We may also offer new services and/or features through the Platform in the future (including the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

Section 8 - Third-Party Links

Certain content, products, and services available via our Services may include materials from third parties.

Third-party links on the Platform may direct your company to third-party websites unrelated to us. We do not review or evaluate the content or accuracy of these websites, and we make no warranties and shall have no liability or responsibility for any third-party materials or websites, or for any other third-party materials, products, or services.

We shall not be liable for any damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Before conducting any transactions, please carefully review the third party’s policies and practices and ensure your company understands them. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

Section 9 - User Comments, Feedback, and Other Submissions

If, at our request, your company sends certain specific submissions (e.g., contest entries) or, without a request from us, sends creative ideas, suggestions, proposals, plans, or other materials (collectively, "Comments") via online, email, postal mail, or other means, your company agrees that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any Comments your company forwards to us. We are under no obligation to: (1) keep any Comments confidential; (2) pay compensation for any Comments; or (3) respond to any Comments.

We may, but are not obligated to, monitor, edit, or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party’s intellectual property rights or these Terms of Service.

Your company agrees that its Comments will not infringe any third-party rights, including copyrights, trademarks, privacy rights, personality rights, or other personal or proprietary rights. Your company further agrees that its Comments will not contain libelous, unlawful, abusive, or obscene material, or any computer viruses or other malware that could affect the operation of the Services or any related website. Your company shall not use a false email address, impersonate another person, or otherwise mislead us or third parties regarding the origin of any Comments. Your company shall be solely responsible for any Comments it makes and their accuracy. We assume no responsibility or liability for any Comments posted by your company or any third party.

Section 10 - Personal Information

Your company’s submission of personal information through the Platform is governed by our [Privacy Policy].

Section 11 - Errors, Inaccuracies, and Omissions

Occasionally, information on our Platform or in the Services may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information in the Services or on any related website is inaccurate at any time without prior notice (including after your company has submitted an order).

We undertake no obligation to update, amend, or clarify information in the Services or on any related website, including but not limited to pricing information, except as required by law. The absence of a specified update or refresh date on the Services or any related website shall not be construed as indicating that all information on the Services or any related website has been modified or updated.

Section 12 - Prohibited Uses

In addition to other prohibitions set forth in the Terms of Service, your company is prohibited from using the Platform or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial, state, or local regulations, rules, laws, or ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that may affect the functionality or operation of the Services, any related website, other websites, or the Internet; (h) to collect or track others’ personal information; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Services, any related website, other websites, or the Internet. We reserve the right to terminate your company’s use of the Services or any related website for violating any of these prohibited uses.

Section 13 - Disclaimer of Warranties; Limitation of Liability

We do not guarantee, represent, or warrant that your use of our Services will be uninterrupted, timely, secure, or error-free.

We do not warrant that the results obtained from using the Services will be accurate or reliable.

Your company agrees that we may, from time to time, suspend the Services indefinitely or cancel the Services at any time without notice to your company.

Your company expressly agrees that your use of, or inability to use, the Services is at your sole risk. The Services and all products and services delivered to your company through the Services (except as expressly stated by us) are provided "as is" and "as available" for your use, without any representations, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no event shall Creatrol Sensor, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including but not limited to lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your company’s use of any of the Services or any products procured using the Services, or from any other claim related in any way to your use of the Services or any product, including but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content (or product) posted, transmitted, or otherwise made available via the Services, even if advised of the possibility of such damages. However, the foregoing limitation of liability shall not apply to: (i) damages arising from Creatrol Sensor’s gross negligence or intentional misconduct; (ii) damages arising from a breach of fundamental contractual obligations (e.g., warranties of title or non-infringement as described herein); or (iii) liability that cannot be excluded or limited under mandatory applicable law.

Creatrol Sensor warrants that the products delivered are free from any infringement of third-party intellectual property rights valid in the country of delivery, to the best of Creatrol Sensor’s knowledge. In the event of a claim alleging such infringement, Creatrol Sensor shall, at its own option and expense: (a) procure for the Client the right to continue using the product; (b) replace or modify the product to eliminate the infringement; or (c) accept the return of the product and refund the purchase price. This warranty does not cover infringement arising from modification of the product by the Client or its agents, or use of the product in combination with products not provided by Creatrol Sensor. This constitutes the Client’s sole and exclusive remedy for intellectual property infringement.

Section 14 - Indemnification

Your company agrees to indemnify, defend, and hold harmless Creatrol Sensor and its parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your company’s breach of these Terms of Service or the documents they incorporate by reference, or your company’s violation of any law or the rights of a third party.

Section 15 - Confidentiality

Both parties agree to treat all non-public information received from the other party, including but not limited to business plans, prices, technical data, customer lists, and the terms of this Agreement ("Confidential Information"), as confidential. Without the prior written consent of the disclosing party, neither party shall disclose or use the other party’s Confidential Information for any purpose other than performing its obligations or exercising its rights under this Agreement. This obligation shall survive the termination of this Agreement for five (5) years. Information that is or becomes publicly available through no fault of the receiving party, independently developed, or lawfully received from a third party without restrictions shall not be deemed Confidential Information.

Section 16 - Severability

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any remaining provisions.

Section 17 - Termination and Post-Termination Obligations

Termination: Either party may terminate these Terms of Service by written notice if the other party materially breaches these Terms of Service and fails to cure such breach within thirty (30) days of receiving written notice thereof. Creatrol Sensor may also terminate these Terms of Service immediately upon notice if the Client becomes insolvent, files for bankruptcy, or ceases business operations.

Post-Termination Obligations: Upon termination or expiration of these Terms of Service: (a) all rights granted to the Client shall immediately cease; (b) the Client shall cease using any proprietary information, software, or Platform provided as part of the Services; (c) Creatrol Sensor shall refund any unused prepaid fees for unperformed Services (if applicable); (d) each party shall, at the disclosing party’s option, return or destroy all Confidential Information of the other party. Provisions of these Terms of Service that by their nature should survive termination (e.g., confidentiality, limitation of liability, indemnification, governing law) shall remain in effect.

Section 18 - Force Majeure

Neither party shall be liable for failure or delay in performing its obligations under these Terms of Service (except for payment obligations) due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, pandemics, quarantine restrictions, strikes, freight embargoes, or severe supply chain disruptions ("Force Majeure Events"). The affected party shall promptly notify the other party of the Force Majeure Event and its expected duration. Obligations shall be suspended during the Force Majeure Event. If a Force Majeure Event prevents performance for ninety (90) consecutive days, either party may terminate the affected order or this Agreement by written notice without liability.

Section 19 - Global Regulatory Compliance for Radar Products

Compliance Undertaking: Your company warrants that, in using our radar products, it will strictly comply with applicable laws and regulations in the country/region of use, including but not limited to radio frequency management, electromagnetic compatibility (EMC), import/export restrictions, and industry-specific licensing requirements (e.g., aviation, maritime, security). Your company shall be solely responsible for understanding and ensuring compliance with such regulations.

Cross-Border Transfer Compliance: For the cross-border transfer of personal data (e.g., contact information of EU clients), we ensure compliance through mechanisms such as the EU Standard Contractual Clauses (SCCs, EU 2021/914). Specifically, we have signed SCCs (Module 2: Controller to Processor) with our data processors (e.g., Ueeshop) to govern the lawful transfer of personal data from the EEA, UK, or Switzerland to China, ensuring alignment with GDPR requirements.

Response to Data Subject Rights: Individuals in the EEA, UK, or Switzerland have the right to access, correct, or request deletion of their personal data. Your company may exercise these rights by contacting contact@creatrol.com, and we will respond within one month of receiving a valid request.

Section 20 - Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service, together with any policies or operating rules posted by us on the Platform or in respect of the Services, constitute the entire agreement and understanding between your company and us, governing your use of the Services. They supersede all prior or contemporaneous agreements, communications, and proposals (whether oral or written) between your company and us (including but not limited to any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Section 21 - Governing Law and Dispute Resolution

These Terms of Service and any separate agreements under which we provide Services to your company shall be governed by and construed in accordance with the laws of the People’s Republic of China, excluding conflict of law rules.

Any dispute arising out of or in connection with these Terms of Service shall first be resolved through friendly negotiation between the parties. If negotiation fails, the dispute shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (SHIAC) for arbitration in accordance with its rules. The arbitration award shall be final and binding on both parties.

Your company may review the most current version of the Terms of Service at any time on this page.

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes on our Platform. It is your company’s responsibility to check our Platform periodically for changes. Your continued use of or access to our Platform or the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
